Stylist Services Agreement

Effective Date: August 2026 · Entity: Rootli Group Ltd (Company No. 14167623), registered in England & Wales.

This Agreement governs your listing and delivery of services as an independent specialist on Rootli. Clients are separately bound by the Consumer Terms of Service.

01Independent Contractor Status & Tax Indemnity

1.1 Self-Employed Status: You are an independent, self-employed contractor. Nothing in this Agreement creates an employment, worker, agency, partnership, or joint venture relationship between you and Rootli Group Ltd (“Rootli”). You retain complete autonomy over your working hours, service pricing, methods, and location of service delivery.

1.2 Tax & HMRC Responsibility: You are solely responsible for registering as self-employed with HMRC, reporting your income, paying all income tax, National Insurance Contributions (NICs), and accounting for VAT (where VAT-registered).

1.3 HMRC Tax Indemnity

You agree to fully indemnify and hold harmless Rootli against any claims, demands, assessments, interest, or penalties brought against Rootli by HMRC or any statutory body arising from your employment or tax status.

02Professional Charter & Service Standards

By listing your services on Rootli, you agree to uphold the following non-negotiable standards:

  • Identity & Verification: Maintain an active ‘Rootli Verified’ status by submitting valid UK government identification and business verification upon request.
  • Punctuality & Reliability: Arrive promptly for scheduled appointments. Unexcused lateness or no-shows damage platform trust and may result in immediate suspension.
  • Sanitation & Hygiene: Use fully sterilised tools, clean capes, and fresh towels for every client, maintaining professional salon hygiene standards whether working in-studio or mobile.
  • Transparent Pricing: The total price set on your Rootli profile at checkout is contractual. No mandatory “chairside” price increases or unapproved add-ons are permitted during appointments.
  • Mandatory Consultation: Perform a mandatory consultation and scalp assessment prior to starting any hair service.

03Mandatory Insurance, Health & Clinical Obligations

3.1 £1,000,000 Public Liability Insurance — Mandatory

You must hold and maintain active Public and Products Liability Insurance with a minimum cover of £1,000,000 (One Million Pounds Sterling) appropriate to all beauty and hair treatments you offer. You must upload valid proof of cover to your Rootli profile annually.

3.2 Patch Testing & Clinical Safety

You are the sole principal legally responsible for performing COSHH-compliant skin patch tests, allergy checks, and chemical assessments at least 48 hours prior to administering any chemical, tint, bleach, or adhesive service.

3.3 Injury Indemnity

You agree to indemnify and defend Rootli against any third-party claims, legal fees, or damages arising from personal injury, allergic reaction, scalp harm, or property damage caused during your service delivery.

04Fees, Payouts & Refund Clawback Controls

4.1 Commission & Platform Fees: Rootli retains a platform service commission on each completed booking, as detailed in your Stylist Dashboard.

4.1a Founding Specialist Commission Window: Founding Specialists pay 0% platform commission on bookings completed on or before 30 November 2026. Standard 10% platform commission applies automatically starting 1 December 2026.

4.2 Stripe Connect Escrow & Payouts

Client payments and deposits are collected via Stripe Connect escrow. Payouts are released to your connected bank account following appointment completion, subject to standard processing windows and any active dispute holds.

4.3 Chargebacks & Refund Recoveries

If a client initiates a valid refund request or bank chargeback due to service non-performance, safety breaches, or unexcused cancellation on your part, Rootli reserves the right to withhold payouts or debit your connected account for the full refund amount plus any applicable administrative dispute fees.

05Platform Integrity & Anti-Circumvention

5.1 Non-Circumvention

You agree not to solicit, entice, or accept direct off-platform payments or offline re-bookings from any client introduced to you through the Rootli platform for the purpose of evading platform service fees.

5.2 Breach Remedies

Circumvention damages platform integrity. Any verified attempt to take Rootli-introduced clients off-platform may result in immediate account termination and a contractual fee recovery charge equal to the platform commission on estimated lost bookings.

06Portfolio Rights, GDPR & Client Consent

6.1 Content Licence: You retain ownership of all portfolio images, videos, and profile content you upload. You grant Rootli a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote your portfolio content across Rootli’s website, mobile apps, and marketing channels.

6.2 Client Image Consent — UK GDPR

You warrant that you have obtained explicit written or recorded consent from every client whose photo or video is uploaded to your portfolio, complying fully with UK GDPR rules.

07Stylist Cancellations, Account Suspension & Liability Cap

7.1 Stylist Cancellations: If you must cancel a booking due to emergency, you must issue the cancellation via the Rootli app immediately. Repeated or short-notice cancellations (< 24 hours) may incur an administrative cancellation fee charged to your payout balance.

7.2 Account Suspension: Rootli reserves the right to suspend or terminate profile visibility for lapse of insurance/ID, safety breaches, circumvention, or rating drops below platform quality thresholds.

7.3 Limitation of Liability

Rootli’s total aggregate financial liability to you under or in connection with this Agreement shall not exceed the total platform commission fees retained by Rootli from your bookings in the preceding three (3) months. This Agreement is governed exclusively by the laws of England & Wales.
